1. Introduction & Acceptance

Welcome to CoversVilla ("Platform"), operated by CoversVilla Pvt. Ltd. ("Company", "we", "us"). By accessing or using the Platform — including the website, mobile application, and any associated services — you ("User", "you", "Buyer", "Seller") agree to be bound by these Terms of Use ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and CoversVilla Pvt. Ltd. The Platform is intended for use by persons who are at least 18 years of age, or who access the Platform under the supervision of a parent or legal guardian.

2. Platform Overview

CoversVilla operates as a multi-seller e-commerce marketplace that facilitates transactions between Buyers and Sellers across multiple product categories including but not limited to: mobile accessories, electronics, clothing, footwear, beauty products, furniture, groceries, fruits & vegetables, and services. The Company itself may also list and sell products directly.

The Platform provides technology infrastructure, payment processing, logistics coordination, and customer support to enable seamless commerce. CoversVilla does not own, manufacture, or warehouse products listed by third-party Sellers unless explicitly stated.

3. User Accounts

3.1 Registration: To place orders, sell products, post reviews, or access certain features, you must create an account with accurate, current, and complete information. You agree to update your information promptly if it changes.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password and OTP. All activities that occur under your account are your responsibility. Notify us immediately at csupport@coversvilla.com if you suspect unauthorized access.

3.3 One Account Per Person: Each individual may maintain only one personal account. Creating multiple accounts to circumvent platform policies, exploit promotions, or for any fraudulent purpose is prohibited and may result in permanent suspension.

3.4 Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for more than 24 months.

4. Buying on CoversVilla

4.1 Product Listings: Product information, images, descriptions, and specifications are provided by individual Sellers. While we take reasonable steps to ensure accuracy, CoversVilla does not guarantee that product descriptions are complete, accurate, or error-free. Products may vary slightly from images shown.

4.2 Pricing: All prices are displayed in Indian Rupees (₹) and are inclusive of GST unless otherwise stated. Prices may change without notice. The price at the time of order placement will be the price charged. We reserve the right to cancel orders where pricing errors occur.

4.3 Order Placement: An order is placed when you complete the checkout process and receive an order confirmation. Order confirmation does not guarantee acceptance — orders are subject to product availability, payment verification, and seller confirmation.

4.4 Payment Methods: We accept UPI (GPay, PhonePe, Paytm), credit/debit cards (Visa, Mastercard, American Express, RuPay), net banking, mobile wallets, EMI options, and Cash on Delivery (COD) where available. COD availability depends on pincode and order value.

4.5 Order Cancellation: You may cancel orders before they are shipped. Once shipped, cancellation is subject to our Cancellation Policy. Refunds for cancelled orders will be processed within the timelines specified in our Cancellation & Refund Policy.

5. Selling on CoversVilla

5.1 Seller Registration: Individuals and businesses may register as Sellers by completing the seller onboarding process, providing valid PAN, GSTIN (where applicable), bank account details, and warehouse/pickup address.

5.2 Seller Obligations: Sellers must ensure product listings are accurate, products are genuine and not counterfeit, inventory is current, orders are dispatched within agreed timelines, and all applicable laws (including consumer protection, GST, and product safety regulations) are complied with.

5.3 Commission & Payments: Sellers agree to the commission structure as detailed in the Seller Agreement. Payments to Sellers are settled on a weekly basis after deducting applicable commission, logistics charges, and any penalties.

5.4 Prohibited Items: Sellers may not list items that are illegal, counterfeit, stolen, hazardous, or that infringe any intellectual property rights. CoversVilla reserves the right to remove listings and suspend Seller accounts for violations.

6. Intellectual Property

All content on the Platform — including but not limited to the CoversVilla name, logo, trademarks, website design, graphics, text, software, and user interface — is the property of CoversVilla Pvt. Ltd. or its licensors and is protected under Indian intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent.

Sellers retain ownership of their product images and descriptions but grant CoversVilla a non-exclusive, royalty-free license to use, display, and distribute such content for the purpose of operating the marketplace.

7. User Conduct

When using the Platform, you agree not to: (a) violate any applicable law or regulation; (b) infringe on the rights of others; (c) transmit any malicious software, spam, or unauthorized advertising; (d) attempt to gain unauthorized access to Platform systems; (e) interfere with Platform operations; (f) post false, misleading, or defamatory content; (g) manipulate prices, reviews, or ratings; or (h) engage in any activity that is harmful to the Platform, its users, or its reputation.

8. Reviews & Ratings

Users may post reviews and ratings for products purchased through the Platform. Reviews must be honest, relevant, and based on genuine experience. CoversVilla reserves the right to remove reviews that contain offensive language, spam, promotional content, personally identifiable information, or that violate these Terms. Incentivized or fake reviews are strictly prohibited.

9. Limitation of Liability

CoversVilla acts as an intermediary marketplace facilitating transactions between Buyers and Sellers. To the maximum extent permitted by applicable law: (a) CoversVilla is not liable for product defects, quality issues, or misrepresentation by Sellers; (b) total liability shall not exceed the amount paid by the User for the specific transaction in question; (c) CoversVilla is not liable for indirect, incidental, special, or consequential damages.

This limitation does not affect your statutory rights under the Consumer Protection Act, 2019, or any other applicable consumer protection legislation.

10. Indemnification

You agree to indemnify and hold harmless CoversVilla Pvt. Ltd., its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Dispute Resolution

11.1 Governing Law: These Terms are governed by and construed in accordance with the laws of India.

11.2 Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana, India.

11.3 Grievance Resolution: If you have any complaints or grievances, please contact our Grievance Officer at csupport@coversvilla.com. We endeavor to resolve all complaints within 30 days of receipt.

12. Modifications

CoversVilla reserves the right to modify these Terms at any time. Changes will be effective upon posting on the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
